1. General

1.1. These terms and conditions apply to all offers, agreements, deliveries, work, and services of Jutphaas Bouwtechniek (hereinafter “Jutphaas”), including use of the website ( www.jutphaas.nl ).
1.2. Deviations are only valid if confirmed in writing by Jutphaas.
1.3. By using the website, signing a quote, or accepting an order confirmation, the customer agrees to these terms and conditions.

2. Quotations and Agreement

2.1. All quotes are non-binding and valid for the period stated in the quote (usually 30 days).
2.2. An agreement is formed upon written or digital acceptance of the quote or order confirmation by the customer.
2.3. Quotes may contain deviations; Obvious errors are not binding on Jutphaas.

3. Delivery of Products and Materials

3.1. Products are delivered as specified in the quotation.
3.2. Minor deviations in color, material, or finish, within factory tolerances or due to variations in samples/images, do not justify a complaint or cancellation.
3.3. Dimensions supplied/approved by the customer are binding; Jutphaas is not liable for errors in these dimensions.
3.4. Delivery times are indicative and not final. Delays due to third parties such as manufacturers or carriers do not lead to liability or cancellation.

4. Transport and Storage

4.1. Delivery will take place at the agreed location and time. After delivery, all delivered goods are at the customer’s risk.
4.2. The customer is responsible for storage and security. Jutphaas is not liable for damage after delivery.
4.3. Transportation costs are included to the delivery location, unless otherwise agreed.

5. Assembly, Execution and Warranty

5.1. Jutphaas carries out its work in accordance with applicable construction guidelines and professional standards.
5.2. The warranty covers only the installation/work performed, unless otherwise agreed.
5.3. Materials or products are not covered by the warranty, unless otherwise stated in writing.
5.4. Warranty exclusions: improper use, incorrect storage, external influences, modifications by third parties, and customer errors.

6. Payment terms

6.1. Payment is made in three installments, unless otherwise agreed:

75% deposit upon order acceptance,
10% upon delivery of materials,
and 15% upon completion of the work.

6.2. Jutphaas reserves the right to suspend work in the event of late payment. Additional costs and damages are the responsibility of the customer.
6.3. All amounts stated are exclusive of VAT, unless otherwise stated.

7. Liability and Damages

7.1. Jutphaas’s liability is limited to direct, demonstrable damage resulting from intent or gross negligence.
7.2. Liability is limited to the paid value of the relevant portion of the project.
7.3. Liability for indirect damage such as business interruption, loss of profit, and delays is excluded.
7.4. The client must indemnify and hold Jutphaas harmless from third-party claims arising from incorrect, incomplete information, or incorrect instructions provided by the client.

8. Force Majeure

8.1. Force majeure includes, but is not limited to, natural disasters, war, pandemics, strikes, production or transport shortages, road or water transport problems, government measures, cyber incidents, and other unforeseen circumstances.
8.2. Under circumstances of force majeure, Jutphaas may suspend performance or terminate the agreement in whole or in part, without liability.

9. Website and Online Functionality

9.1. The Jutphaas website is intended for information and inquiries. The content has been compiled with care, but changes may occur.
9.2. Jutphaas strives to keep the website secure and accessible, but does not guarantee that access is always possible or that the site is free of errors or viruses.
9.3. Data entered by the user, such as contact details or request forms, must be correct and up-to-date. Jutphaas is not liable for the consequences of incorrect data entry.
9.4. All intellectual property rights (text, logos, images, software) on the website are the property of Jutphaas or its suppliers and may not be used or reproduced without prior written permission.

10.Privacy and Data Protection

10.1. Jutphaas processes customer personal data in accordance with the GDPR and the Privacy Statement, available on the website.
10.2. Personal data is used solely for the performance of the agreement and is deleted as soon as it is no longer needed, unless statutory retention obligations apply.
10.3. The user can exercise their privacy rights (access, correction, deletion, objection) via the website.

11. Applicable Law and Disputes

11.1. All agreements and terms and conditions are governed exclusively by Dutch law.
11.2. Disputes will primarily be resolved through mutual agreement. If this is not possible, disputes will be submitted to the competent court in the district where Jutphaas is established.
